In a straight line it will be the Mustang, hands down-no contest. If you have to turn then the BMW will waste the pony.
I'll assume you're talking about the E46, with S54 engine in 333hp tune.

The M3, on OEM tires, would be faster to 60, 100, and the quarter mile. It has a less torquey motor than the Mustang GT to be sure, but overall brute power and grip, paired with slightly less weight than the Mustang (1550 to 1582) would score a victory. The M3 nudges a victory in top speed as well, with 155 (limited) to 147 for the Mustang.

The M3 has the faster 0-60 (4.8 compared to 4.9) so I suppose it would beat a GT off the line. It all depends on tire temp and clutch condition though, as a weak link could send the outcome either way.
I am a ford fan but stock vrs stock the M3 is faster in the 1/8th and the 1/4 mile and also has a faster top speed. (no one that spends any time at the track or has any racing experiance uses 0-60mph times they are too inconsistant) 1/4 times is 13.5 for the 06gt and 13.3 for the 06 m3. the m3 is lighter with more hp. the stang does have more tq but its not enough to make up for the weight and hp of the m3. You have to consider though that a new m3 costs approx 20k more then a new stang so if you take the 20k you save by getting a stang and put 8k of it back into the stang not only do you have a much quicker and faster car but also you can add to the suspension with that money and your stang will handle better on the track as well.
My good friend has a 2001 Mustang GT and i have a 1999 BMW M3. In high speeds i completely destroy him(freeway)

in the begining it would be about equal then he would start pulling away but i would catch up and eventually win if were going distance.
I think the GT has more tq, The M3 would probably beat the GT as far as speed goes though, The GT (un goverened) only gets up to about 140 and it takes awhile to even get there....
well I hate to say this but the M3's are faster but if you do some mods the mustang can take them on.
